Memorandum of Association
ESTABLISHMENT OF THE INDIAN COUNCIL OF HISTORICAL RESEARCH
- The importance of giving a proper direction to historical
research and of encouraging and fostering objective and scientific
writing of history is being increasingly recognized in the country.
The subject gains not only from the point of view of national
integration but also from that of the need to inculcate a healthy
respect for our cultural heritage without encouraging a blind
acceptance of superstition, obscurantism and revivalism.
- It is equally important to promote the application of historical
method to the study of the social sciences and the humanities,
so that an inter-disciplinary approach is achieved in an understanding
of these subjects. The development and adoption of new historical
methods have a bearing not only for the study of history but
in improving and updating techniques and methods of social sciences
and humanities as a whole.
- It was felt that an Indian Council of Historical Research
which would be an autonomous body registered under the Societies
Registration Act would help in achieving these objectives and
in enunciating and implementing a national policy of historical
research. After some preliminary discussion on the subject,
a Working Group was set up in December, 1971 by the Ministry
of Education, to work out the details of such a body, of Prof.
R.S Sharma, Patna University (Chairman); Prof.Satish Chandra,
Jawaharlal Nehru University; Prof. Tapan Raychaudhuri, Delhi
University; Dr. S.N. Prasad, Director, National Archives; Shri
J. Veeraraghavan, Director (Internal Finance), Ministry of Education
and Social Welfare; and Smt. S. Doraiswami, Deputy Education
Adviser, Ministry of Education and Social Welfare.
- The objectives of this new body would be to:
- Bring historians together and provide a forum for exchange
of views between them;
- Give a national direction to an objective and rational presentation
and interpretation of history;
- Promote, accelerate and coordinate research in history with
special emphasis on areas which have not received adequate attention
so far;
- Promote a coordinated and balanced distribution of research
effort over different areas;
- Elicit support and recognition for historical research from
all concerned and ensure the necessary dissemination and use
of results.
- The frame-work within which the new body would function will
be as follows:
(a) The Indian Council of Historical Research should be small
sized body consisting mainly of eminent historians of the country.
(b) The proposed Council would cover History in its broader
aspect including the History of Art, Literature and Philosophy
and allied subjects such as archaeology, numismatics, epigraphy
and the historical study of manuscripts. If would promote the
study of any subject with a strong historical bias and content.
(c) It would be necessary to ensure that the new council does
not duplicate the functions at present carried out by the Indian
Historical Records Commission.
(d) Several historical projects with a strong social and economic
content are at present being assisted by the Indian Council
of Social Science Research. The establishment of the Indian
Council of Historical Research should not deprive these projects
of this assistance nor should similar projects be excluded from
the preview of the I.C.S.S.R. In future.
(e) The Member Secretary of the I.C.S.S.R. should be invited
to attend the meetings of the I.C.H.R. on a reciprocal basis
in order to maintain coordination between two.
The Memorandum of Association and the Rules of the Indian Council
of Historical Research prepared on the basis of the above framework
and as approved and registered are given in the pages that follow.
THE INDIAN COUCIL OF HISTORICAL RESEARCH
In the matter of the Societies Registration Act (Act XXI of 1860)
being an Act for the registration of literary, scientific and
charitable societies

MEMORANDUM OF ASSOCIATION
- The name of the society shall be the Indian Council of Historical
Research (hereinafter referred to as the 'Council').
- The objects for which the Council is established are:
(a) to foster objective and scientific writing of history such
as will inculcate an informed appreciation of the country's
national and cultural heritage;
(b) to review the progress of historical research from time
to time and indicate neglected or new areas where research needs
to be specially promoted;
(c) to sponsor historical research programmes and assist institutions
and organizations engaged in historical research;
(d) to provide technical assistance for the formulation of historical
research programme by individuals or institutions and to support
institutional arrangements for training in research methodology;
(e) to develop and support centres for documentation and reference
service on historical research;
(f) to maintain a National Register of research workers in history
and their fields of specialization;
(g) to initiate measures, in cooperation with State Archives
and Regional Record Survey Committees , for the location, survey,
listing and preservation of historical material in private custody
or in institutions lacking the necessary facilities;
(h) to indicate periodically areas and topic on which historical
research is to be promoted and adopt special measures for the
development of research in neglected or new areas of historical
research such as economic and social history, historical geography,
history of science and technology , history of arts, etc;
(i) to coordinate research activities in the field of historical
research;
(j) to act as clearing house of ideas and information on historical
research in India and abroad;
(k) to organize, sponsor and support seminars, workshops, and
conferences for the promotion and utilization of historical
research;
(l) to promote publication of historical research of a high
standard and to undertake publication of digests, periodicals
and journals devoted such research;
(m) to encourage the production of popular literature which
would foster an objective understanding of India's cultural
heritage;
(n) to undertake the compilation and publication of source material
such as would facilitate historical research and historical
writing
(o) to institute and administer scholarships and fellowships
for historical research;
(p) to develop a body of talented young historians and to identify
and encourage research talent, encourage the young teachers
in universities and other research organizations;
(q) to advise the Government of India on all such matters pertaining
to historical research and training in history methodology as
may be referred to it from time to time, including co-operational
arrangements in historical research and training facilities
with foreign academic bodies;
(r) to enter into arrangements with the Governments of India,
State Governments and other public or private organizations
or individuals for furtherance of its objectives, for implementations
of its programmes and for securing and accepting endowments,
grants-in aid, donations or gifts on mutually agreed terms and
conditions;
(s) to acquire by gift, purchase, lease or otherwise any properly
, movable or immovable, which may be necessary or convenient
for the purposes of the Council and to construct, alter and
maintain any building or buildings for the purposes of the Council;
(t) to draw, make, accept, endorse, discount and negotiate Government
of India and other promissory notes, bills of exchange, cheques
or other negotiable instruments;
(u) to invest the funds of the Council in such securities or
in such manner as may from time to time be determined be the
Governing Body, and , from time to time, to sell or transfer
such investments;
(v) to take over and acquire by purchase, gift or otherwise
from Governments and other public bodies or private individuals,
movable and immovable properties or other funds together with
any attendant obligations and engagements not inconsistent with
the objects of the Council;
(w) to sell, transfer, lease or otherwise dispose of any movable
or immovable property of the Council; and
(x) generally to take all such measures as may be found necessary
from time to time to promote historical research and its utilization
in the country.
- The Council will ordinarily initiate and promote research
through university departments, research organization and individuals.
- (a) The income and property of the Council, however derived,
shall be applied towards the promotion of the objects thereof
as set forth in the Memorandum of Association, subject nevertheless,
in respect of the expenditure of grants made by the Government
of India, to such limitations as the Government of India, to
such limitations as the Government of India may, from time to
time, impose.
(b) No portion of the income and property of the Council shall
be paid or transferred, directly or indirectly, by way of dividends,
bonus or otherwise howsoever by way of profit, to the persons
who are not or at any time have been members of the Council
or to any of them or to any persons claiming through them:
Provided that nothing herein contained shall prevent the payment,
in good faith, of remuneration to any member or any other persons
in return for any services rendered to the Council or for traveling
allowances, halting, or other similar charges.
8. The names, address and occupations of the first members of
the Administrative Committee of the Council to whom under rules
and regulations of the Council, the management of its affairs
is entrusted, are given below as required under the Societies
Registration Act, 1860 (Act XXI of 1860) :

in this Memorandum of Association and set out several and respective
hands hereunto and form ourselves into a Society under Act XXI
of 1860 this twenty second day of February, 1972 at New Delhi.

RULES
- Short Titles: These Rules may be called the " Rules
of the Indian Council of Historical Research, New Delhi, 1972.
- Definitions: In these rules, unless the context otherwise
requires:
(a) The 'Council' shall mean the Indian Council of Historical
Research;
(b) The ' Chairman' shall mean the Chairman of the Council appointed
by the Government of India under Rules 3& 13;
(c) The 'Member Secretary' shall mean the Member-Secretary appointed
by the Government of India or the Council as the case may be
under Rule 14;
(d) The ' Administrative Committee' shall mean the Administrative
Committee appointed under Rule30; and
(e) The 'Research Projects Committee' shall mean the Research
Projects Committee appointed under Rule 39.
- Members of the Council: The Council shall consist of the following
members;
- An eminent historian nominated by the Government of India
who shall be Chairman of the Council;
- Eighteen historians nominated by the Government of India;
- Representative of the U.G.C;
- Director- General of Archaeology;
- Director, National Archives;
- Four persons to represent Government who shall be nominated
by the Government of India and which shall include one representative
each of the Ministry of Education, the Department of Culture
and the Ministry of Finance; and- Member-Secretary.
- Roll of Members: The Council shall keep a Roll of Members
giving their addresses and occupations and every member shall
sign the same.
- If a member of the Council changes his address, he shall
notify his new address to the Member-Secretary who shall thereupon
enter his new address. The address given in the Roll of Members
shall be deemed to be his address.
- Duration of Membership: The term of office of the Council
constituted under Rule 3 shall be three years and shall be deemed
to commence from the date on which it holds its first meeting.
However, a Council once constituted shall continue to be in
office till a new Council is constituted and the names of the
members are published in the Official Gazette.
- When the term of office of a Council comes to an end, all
its members, except the Chairman and Member-Secretary whose
term of office will be regulated in accordance with these Rules
eligible for reappointment, subject, however, to the condition
that no person shall be a member of the Council for more than
two consecutive terms of office.
- During the term of office of Council, vacancies may arise
from the reasons indicated below:
(a) death;
(b) resignation addressed to the Member-Secretary in Writing
and accepted by the Council;
(c) becoming of unsound mind or insolvent;
(d) conviction for a criminal offence involving moral turpitude;
or
(e) failure to attend three consecutive meeting of the Council
without proper leave of the Council.
- Any vacancy in the membership of the Council (or any of its
committees) caused by any of the reasons mentioned above shall
be filled up in accordance with the provisions of these Rules.
But the persons appointed in the vacancy shall hold office only
for the unexpired period of the term of the membership.
- Where a member of the Council (or any of its committees)
becomes a member by reason of office or appointment he holds,
his membership of the Council (or of its committees) shall terminate
when he ceases to hold that office or appointment; and in his
vacancy, his successor in office or appointment shall automatically
be a member of the Council for the unexpired period of the term
of membership.
- The Council and all its committees shall function notwithstanding
that any person who is entitled to be member by reason of his
office is not a member of the Council (or its Committees) for
the time being and notwithstanding any other vacancy, whether
by non-appointment or otherwise; and no act or proceeding of
the Council (or its Committees) shall be invalidated merely
by reason of the happening of any of the above events or of
any defect in the appointment of any of its members.
- The officers of the Council shall be Chairman, the Member-Secretary
and such other employees of the Council who may be so designated
by the Council.
- The Chairman of the Council shall be honorary. The term of
office of the first Chairman shall be five years and three years
in all-subsequent cases. The outgoing Chairman shall be eligible
for re-appointment by the Government of India. But no Chairman
shall be appointed for more than two consecutive terms.
- The first Member- Secretary of the Council shall be appointed
by the Government of India and shall hold office till such time,
as a Member-Secretary has been appointed by the Council with
the approval of the Central Government. The remuneration, terms
and conditions of service, powers and duties of the Member-Secretary
shall be as specified in the regulations.
- The Government of India may appoint one or more persons to
review the work and progress of the Council and to hold enquiries
into the affairs thereof and to report thereon, in such manner
as the Government of India may stipulate, and upon receipt of
any such report, the Government of India may take such action
and issue such directions as it may consider necessary in respect
of any of the matters dealt with in the report and the Council
shall be bound to comply with such directions.
- (a) The Government of India may give directives to the
Council in respect of its broad policies and programmes.
(b) If any time a difficulty arises in the functioning of the
Council because of any lacunane in the Memorandum of Association
or in the Rules, or the failure of any of their provisions to
operate, the Government of India shall have powers to give directives
to resolve the difficulty and such directives shall be binding
of the officers and authorities of the Council.
- Authorities: The following shall be the authorities of the
Council:
(a) The Administrative Committee;
(b) The Research Projects Committee; and
(c) Such other authorities as may be constituted by the Council.
Proceedings of the Council
- (a) The Annual General Meeting of the Council shall be held
at such time, date and place as may be determined by the Chairman.
(b) The Chairman may convene an ordinary general meeting of
the Council whenever he thinks fit. However, the Council shall
hold at least two ordinary general meetings every year.
(c) Ten members of the Council may, by a letter addressed to
the Member-Secretary, requisition a special meeting of the Council.
On receipt of such requisition, the Member-Secretary shall convene
a meeting.
- Except as otherwise provided in these Rules, all meetings
of the Council shall be called by notice under the signature
of the Member-Secretary or any other officer authorized in this
behalf.
- Every notice calling meeting of the Council shall state the
date, time and place at which such meeting will be held and
shall be served upon every member of the Council not less than
fifteen clear days before the day appointed for Annual or Ordinary
General Meeting and seven days for a special meeting.
- If the Chairman is not present at the meetings of the Council,
the members present may elect a Chairman for the meeting.
22. Ten members of the Council present in person shall form a
quorum at every meetings of the Council.
23. All disputed questions at the meetings of the Council shall
be determined by vote. In case of an equality of votes, the Chairman
shall have a casting vote.
24. The Member- Secretary shall keep a record of the proceedings
of the meetings of the Council and a copy thereof shall be sent
to the Government of India.
25. Regulations: (a) With the previous approval of the Government
of India, the Council shall have power to frame and amend Regulations,
not inconsistent with the Memorandum of Association and these
Rules, for the administration and management of its affairs.
(b) Without prejudice the generally of the foregoing provision,
such Regulations may provide for the following matters:
(i) the preparation and sanction of budget estimates, the sanctioning
of expenditure, making and execution of contracts, the investment
of the funds of the Council and the sale or alteration of such
investment, and , account and audit;
(ii) Powers, functions and conduct or business or such Committees
or Advisory Panels as may be constituted from time to time;
(iii) The procedure, terms and tenure of appointments, emoluments,
allowances, rules of discipline and other conditions of service
of the officers and staff of the Council.
Provided that the prior approval of the Government of India shall
be obtained for the creation of all posts with a salary of Rs.2,000
per month or more and for making appointments to such posts;
(iv) terms and conditions governing scholarships, fellowships
and deputations, grants-in-aid, research schemes and projects,
and establishment of data library and documentation centre; and
(v) such other matters as may be necessary for the furtherance
of the objectives and proper administration of the affairs of
the Council.
26. Subject to memorandum of Association, Rules and Regulations,
the Council shall have the power to-
(a) appoint all categories of officers and staff for conducting
the affairs of the Council, to fix the amount of their remuneration,
subject to the budget provision, and to define their duties;
(b) to enter into arrangements with the Government of India, State
Governments and other public or private organizations or individuals
for furtherance of its objectives, for implementations of its
programmes and for securing and accepting endowments, grants-in-aid,
donations or gifts on mutually agreed terms and conditions:
Provided that the conditions of such grants-in-aid donations or
gifts shall not be inconsistent or in conflict with the objectives
of the Council or with the provision of these Rules;
(c) To acquire by gift, purchase, lease or otherwise any property,
movable, or immovable, which may be necessary or convenient for
the purposes of the Council and to construct, alter and maintain
any building or buildings for the purposes of the Council;
(d) To draw, make, accept, endorse, discount and negotiate Government
of India and other promissory notes, bills of exchange, cheques
or other promissory notes, bills of exchange, cheques or other
negotiable instruments;
(e) To invest the funds of Council in such securities or in such
manner as may from time to time be detemined by the Governing
body and, from time to time, to sell or transfer such investments;
(f) To take over and acquire by purchase, gift or otherwise from
Government and other public bodies or private individuals, movable
and immovable properties or other funds together with any attendant
obligations and engagements not inconsistent with the objects
of the Council;
(g) To sell, transfer, lease or otherwise dispose of any movable
or immovable property of the Council;
Provided, however, that no immovable property of the Council shall
be sold without the prior approval of the Government of India.
27. The Council may, by resolution, appoint Advisory Panels or
Committees other than the Administrative Committee or the Research
Projects Committee, for such purposes and with such powers as
it may think fit, and it may think fit, and it may also dissolve
any of the Committees and Advisory Panels set up by it.
28. The Council may delegate to the Chairman, of its Committees,
or members and to the Member-Secretary or to any other officer
of the Council such administrative and financial powers as it
may deem proper and also prescribe limitations within which these
power are to be exercised or discharged.
29. The Annual General Meeting of the Council shall, among other
things, approve the Annual Report and Accounts of the preceding
year, sanction the programme and budget estimates of the subsequent
year and constitute the Administrative and Research Projects Committees.
Administrative Committee
30. The administrative and financial affairs of the Council shall
be looked after, subject to rules and regulations and orders of
the Council, by the Administrative Committee which shall consist
of the following:
(a) Chairman
(b) Financial Adviser
(c) Not less than five or more than seven members appointed by
the Council at the Annual General Meeting; and
(d) Member-Secretary
31. The term of the office of the Administrative Committee shall
be one year from the date of the Annual General Meeting in which
it is constituted. However, an Administrative Committee once constituted
shall constituted shall continue in office until another Administrative
Committee is constituted.
32. The Member-Secretary of the Council shall be the Secretary
of the Administrative Committee.
33. Every meeting of the Administrative Committee shall be presided
over by the Chairman and in his absence, by a member chosen by
the members present at the meeting to preside for the occasion.
34. Four members shall constitute a quorum at any meetings of
the Administrative Committee.
35. Not less than 15 clear days notice shall be given for an
ordinary meeting of the Administrative Committee, but this condition
may be relaxed by the Chairman for special meetings.
36. Every notice calling a meeting of the Administrative Committee
shall state the date, time and place at which such meeting will
held and shall be under the signature of the Member-Secretary
or any other officer authorized by the Chairman in this behalf.
37. The Administrative Committee shall hold at least three meetings
in a year at such time as the Chairman may decide.
38. Each member of the Administrative Committee including the
Chairman shall have one vote; and if there shall be an equality
of votes on any question to be decided by the Committee, the Chairman
shall, in addition, have a casting vote.
Research Projects Committee
39. The Research Projects Committee of the Council shall scrutinize
and sanction grants-in-aid to research projects and other proposals
for financial assistance submitted to the Council subject to rules
and regulations and orders of the Council. It shall consist of:
(a) Chairman;
(b) Three historian members of the Council appointed by the Council
at the Annual General Meeting.
(c) Three specialists to be coopted for individual meetings according
to field or study under examination, to be nominated by the Chairman;
and
(d) Member-Secretary
40. Rules 31-38 of the Administrative Committee shall apply also
to the Research Projects Committee.
Funds of the Council
41. The funds of the Council will consist of the following:
(a) Grants made by the Government of India for the furtherance
of the object of the Council;
(b) Contribution from other sources;
(c) Income from the assets of the Council; and
(d) Receipts of the Council from other sources.
Amended Rules
42. The Banker of the Council shall be State Bank of India or
a Nationalised Bank. All funds shall be paid into Council's account
with SBI or a Nationalised Bank and shall not be withdrawn except
through a cheque signed by such officers as may be duly empowered
in this behalf by the Chairman and countersigned by the Chairman
or by a member of the Council authorized by the Council in this
behalf.
43. The person appointed by the Government of India representing
the Ministry of Finance on the Council shall be the financial
adviser to the Council. If the advice tendered by the Financial
Advisor on any matter referred to him is not acceptable to the
Member-Secretary/Chairman, the matter should come before the full
Administrative Committee for a decision.
Accounts, Audit and Annual Report
44. (a) The council shall maintain proper accounts and other relevant
records and prepare annual accounts comprising the receipt and
payment accounts, statements of liabilities, etc, in such form
as may be prescribed by the Government of India in consultation
with the Comptroller and Auditor-General of India.
(b) The accounts of the Council shall be audited annually by the
Comptroller and Auditor-General or any other person appointed
by him in this behalf and any expenditure incurred in connection
with the audit of accounts of the Council shall be payable by
the Council.
(c) The Comptroller and Auditor-General or any other person appointed
by him in this behalf shall have the same rights, privileges and
authority in connection with the audit of accounts of the Council
as the Comptroller and Auditor- General or any other person appointed
by him in this behalf has in connection with the audit of Government
accounts and in particular, shall have the right to demand the
production of books, accounts, connected vouchers and other documents
and papers, and to inspect the officers or institutions of the
Council.
(d) The Accounts of the Council as certified by the Comptroller
and Auditor-General or any other person appointed by him in this
behalf together with the audit reports there on shall be forwarded
annually to the Government of India and the Government shall cause
the same to be laid before the House of Parliament.
45. An Annual Report of the proceedings of the Council and of
the work undertaken during the Year shall be prepared for the
information of the Government of India and others concerned and
interested and shall be laid before the House of Parliament.
Amended of Rules
46. Subject to the prior approval of the Government of India
and the provision of the Societies Registration Act, 1860 (XXI
of 1860), these rules may be amended at any time by a resolution
passed at an ordinary general meeting of the Council duly convened
for the purpose and supported by more than half of the total number
or members of the Council.
General
47. The Council shall be subject to all the provisions of the
Societies Registration Act, 1860 (Act XXI of 1860) as amended
by the Punjab Act for 1957 and as applied to the Union Territory
of Delhi.
